Item 1.01.       Entry into a Material Definitive Agreement.

        On July 26, 2005, Heska Corporation amended its credit and security agreement with Wells Fargo Business Credit, Inc. The amended agreement provides Heska with $2.5 million in incremental capital, supported by two equipment notes. In addition, the maturity date of the credit and security agreement was extended from May 31, 2006 to June 30, 2009.
