Item 5.03             Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
 
On December 21, 2007, the Board of Directors of Qualstar Corporation (the “Company”), amended and restated Article V, Section 6 of the Company’s Bylaws to allow for the electronic registration, issuance and transfer of the Company’s stock, without the issuance of physical stock certificates.  The amendment and restatement of Article V, Section 6 is intended to make the Company eligible to participate in the Direct Registration System of the Depository Trust Corporation.  The amended Bylaw continues to permit shareholders to obtain a physical stock certificate upon request.
 
A copy of Article V, Section 6 of the Bylaws, as amended and restated, is filed as Exhibit 3.1 to this report.
