(1) In connection with the consummation of the Issuer's initial public offering on August 6, 2014, each share of Series A Convertible Preferred Stock and Series B Convertible Preferred Stock automatically converted into one (1) share of Common Stock for no additional consideration. All shares of Common Stock issued upon conversion were aggregated.
(2) The securities reported are directly held by AI Loxo Holdings LLC ("AI Loxo"). AI Value Holdings, LLC ("AI Value") as the sole member of AI Loxo, Access Industries Management, LLC ("Access") as manager of AI Value, and Len Blavatnik as manager of Access, may be deemed to beneficially own the securities held directly by AI Loxo. AI Value, Access and Mr. Blavatnik disclaim beneficial ownership of these securities, except to the extent of its or his pecuniary interest therein, if any, and this Form 3 shall not be construed as an admission that any such reporting person is the beneficial owner of any such securities for purposes of Section 16 or any other purpose.
