Other Events

In its April 22, 2010 publication, Risk Metrics Group recommended that shareholders vote against re-election of the Domtar Corporation’s (“Company’s”) director, Richard Tan, for attending less than 75 percent of the board and committee meetings in 2009. On April 29, 2010, Mr. Tan submitted to the Board of the Company (“Board”) a written commitment that if his attendance at the board and committee meetings in 2010 or during any subsequent year of his service on the Company’s Board falls below 75 percent, he will resign from his position as a Company director.
