Information Contained in this Form 6-K Report

On December 11, 2013, Global Ship Lease, Inc. (the “Company”) issued a press release announcing that the Company intends to offer an aggregate principal amount of up to $400.0 million first priority secured notes due 2021 (the “Notes”) in a private placement (the “Offering”). A copy of the press release announcing the Offering is filed as Exhibit 99.1 to this Report and is incorporated herein by reference.

The Offering has not been registered under the Securities Act of 1933, as amended (the “Securities Act”). The Notes may not be offered or sold within the United States or to U.S. persons, except to “qualified institutional buyers” in reliance on the exemption from registration provided by Rule 144A and to certain persons in offshore transactions in reliance on Regulation S.
