EXPLANATORY NOTE

On April 30, 2014, in addition to other minor updating changes, the leave of absence and retirement provisions in the registrant’s Performance Share Unit Plan for Eligible Employees of Canadian Pacific Railway Limited were amended. The Performance Share Unit Plan for Eligible Employees of Canadian Pacific Railway Limited, dated April 30 2014, is attached as exhibit 99.1 hereto.
