Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 3, 2016, Ronald W. Jibson, a member of the Board of Directors (the “Board”) of National Fuel Gas Company (the “Company”), notified the Company of his decision to resign from the Board, due to a pending change in his professional responsibilities as a result of the anticipated merger of Questar Corporation with a subsidiary of Dominion Resources, Inc. The resignation will be effective following the June 9, 2016 Board meeting. Mr. Jibson’s decision to resign is not due to any disagreement with the Board or the Company on any matter relating to the Company’s operations, policies or practices.
