Explanatory Statement

On March 9, 2018, FLIR Systems, Inc. (the “Company”) filed its Definitive Proxy Statement (the “Proxy Statement”) related to its annual meeting of shareholders to be held on April 20, 2018. Subsequent to the filing of the Proxy Statement, the Company discovered a typographical error in the section entitled “Corporate Governance and Related Matters.” The Proxy Statement omits the following sentence from the end of the Corporate Governance Committee discussion in the “Board of Directors Committees” sub-section: “During 2017, the Corporate Governance Committee held four meetings.” This filing does not change any other information in the Proxy Statement as originally filed.
