Item 3.02 Unregistered Sales of Equity Securities.

 

On January 12, 2016, the compensation committee of the board of directors of Orient Paper, Inc. (the “Company”) granted an aggregate of 1,133,916 shares of common stock under its compensatory incentive plans to nine officers, directors and employees of and a consultant to the Company, of which 168,416 shares of common stock were granted under the 2012 Incentive Stock Plan and 965,500 shares were granted under the 2015 Omnibus Equity Incentive Plan. These shares were issued pursuant to the exemption from registration contained in Section 4(a)(2) of the Securities Act of 1933, as amended as a transaction by an issuer not involving a public offering.
