(1) This registration statement is being filed for purposes of registering 2,000,000 shares of common shares, $0.001 par value per share, of China Customer Relations Centers, Inc., issuable pursuant to its 2018 Share Incentive Plan, as the same may be further amended or restated. Pursuant to Rule 416(a) under the Securities Act of 1933, as amended, this registration statement also covers an indeterminate number of shares that may be offered or issued as a result of stock splits, stock dividends, or similar transactions.

 

(2) Estimated pursuant to Rule 457(h) and Rule 457(c) of the General Rules and Regulations under the Securities Act for the purpose of computing the registration fee, based on the average of the high and low sales prices on The Nasdaq Capital Market on August 29, 2018, which was $9.57.

 

 

 

 

 

Explanatory Note

This registration statement on Form S-8 (“Registration Statement”) is being filed to register an aggregate of 2,000,000 common shares, par value $0.001 per share (“Common Shares”), of China Customer Relations Centers, Inc. (the “Company”) that may be issued and authorized under the Company’s 2018 Share Incentive Plan (the “2018 Plan”).
