Item 8.01 Other Events.

On February 16, 2006, Alaska Communications Systems Holdings, Inc. ("ACSH"), announced that it had entered into an agreement with the largest holder of ACSH's 9 7/8 % Senior Notes due 2011 (CUSIP Nos. 011679AF4 and 011679AD9). Pursuant to the agreement, the holder agreed to tender its senior notes of approximately $12 million in principal amount, which represents approximately 21 percent of the aggregate principal amount of the outstanding senior notes, and, subject to certain conditions, deliver its consent pursuant to the consent solicitation.

A press release regarding the agreement is attached hereto as Exhibit 99.1 and incorporated herein by reference.
