State below in reasonable  detail the reasons why Form 10-K, 11-K, 10-Q,  N-SAR,
or the  transition  report or  portion  thereof,  could not be filed  within the
prescribed time period.

RF Industries  recently discovered some events that will require the auditors to
slightly  change  the  tax  provision  in  the  audited  financial   statements.
Accordingly, the filing of the 10-KSB will be delayed.
