Item 2.02     Results of Operations and Financial Condition

On January 25, 2006, Harleysville Savings Financial Corporation (the "Company") issued a press release announcing its results of operations for the quarter ended December 31, 2005. A copy of the press release is included as Exhibit 99.1 and is incorporated herein by reference.

This information, including the press release filed as Exhibit 99.1, shall not be deemed to be "filed" for purposes of Section 18 of the Securities Exchange Act of 1934 nor shall it be deemed to be incorporated by reference in any filing under the Securities Act of 1933.

Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

On January 25, 2006, Harleysville Savings Financial Corporation announced that Edward J. Molnar will retire from his position as Chief Executive Officer of the Company and Harleysville Saving Bank (the "Bank") effective January 24, 2007. Mr. Molnar will continue to serve as Chairman and as a member of the Board of Directors. A copy of the press release announcing Mr. Molnar's retirement is filed herewith as Exhibit 99.2 and is incorporated herein by reference thereto. The Company and the Bank have appointed Mr. Ronald B. Geib to succeed Mr. Molnar as Chief Executive Officer to be effective as of January 24, 2007. Mr. Geib (age 51) has served as President and Chief Operating Officer of the Company and the Bank since November 2002. Mr. Geib previously served as the Company's Executive Vice President and Chief Operating Officer from 1999 to November 2002 and as the Bank’s Executive Vice President and Chief Operating Officer from September 1999 to November 2002.
