Item 1.02  Termination of a Material Definitive Agreement.

On October 28, 2008, Provident Financial Holdings, Inc., the holding company for Provident Savings Bank, F.S.B. (“Bank”), announced that the Bank has determined that the Lease Agreement for the proposed retail/business banking branch in Beaumont, California is no longer enforceable because the construction delays will not allow the facility to be delivered within the contractually designated deadline.  As a result, the Bank has cancelled its plans for the Beaumont branch.
