Item 5.03. Amendments to Articles of Incorporation.
On May 10, 2010, V.F. Corporation (the “Company”) amended its articles of incorporation to authorize the issuance of uncertificated shares of stock. The amendment, which did not require approval of shareholders under Pennsylvania law, was approved by the Company’s Board of Directors. The Board also approved the representation of some or all the Company’s common stock in uncertificated form, provided that shares represented by a certificate that is issued and outstanding shall continue to be represented thereby until the certificate is surrendered to the Company or its transfer agent.
