Item 8.01		Other Events.

On July 1, 2008, Red Lion Hotels Corporation (the “Company”) issued a press release announcing that its investment banking firm JMP Securities will be assisting the Company in evaluating strategic options for maximizing shareholder value. The press release also states that a representative of the Company plans to communicate with a representative of Columbia Pacific Opportunity Fund, LP (“Columbia”) concerning its unsolicited, non-binding and conditional preliminary indication of interest to acquire the Company and that the Company is prepared to grant Columbia’s request for access to nonpublic information concerning the Company on a non-exclusive basis, subject to Columbia’s entering into a confidentiality agreement in customary form.
