ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION.
On October 9, 2007, Oxford Industries, Inc. (the Company) issued a press release announcing,
among other things, its financial results for the quarter ended August 31, 2007. The press release
is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
The information contained in this Form 8-K (including Exhibit 99.1) shall not be deemed filed for
purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the Exchange Act), or
otherwise be subject to the liabilities of that section, nor shall it be incorporated by reference
in any filing under the Securities Act of 1933, as amended, or the Exchange Act, except as shall be
expressly set forth by specific reference in such a filing.
ITEM 5.03 AMENDMENTS TO ARTICLES OF INCORPORATION OR BYLAWS; CHANGE IN FISCAL YEAR.
On October 8, 2007, the Companys board of directors approved a change in the Companys fiscal year
end. Effective with the Companys fiscal year which commenced on June 2, 2007, the fiscal year of
the Company shall end at the end of the Saturday closest to January 31 and shall, in each case,
begin at the beginning of the day next succeeding the last day of the preceding fiscal year.
Accordingly, there will be a transition period from June 2, 2007 through February 2, 2008. We will
file a Form 10-Q for the quarter ending August 31, 2007, a Form 10-Q for the quarter ending
November 30, 2007 and a Form 10-K for the transition period from June 2, 2007 through February 2,
2008.
