ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION
On March 17, 2005, Global Signal Inc. (the "Company") issued a press
release announcing its fourth quarter and year end 2004 financial results and
announcing a conference call to review these results. A copy of the press
release is furnished herewith as Exhibit 99.1.
