ITEM 7.01 REGULATION FD DISCLOSURE

In a Form 8-K filed with the Securities and Exchange Commission on August 14, 2007 (the “Original Form 8-K”), we incorrectly indicated in Item 7.01 that the Company’s 2007 Goal for non-GAAP net income per share as referenced on the Company’s earnings call conducted on August 9, 2007 was $0.70.  During the call the 2007 Goal for non-GAAP net income per share that was actually discussed was “mid-$0.70’s”.  This Form 8-K/A amends Item 7.01 of the Original Form 8-K to correct the 2007 Goal.  In connection with this correction, the reconciliation from 2007 GAAP net income per share to non-GAAP net income per share reflects $0.54 for 2007 GAAP net income per share with $0.21 of non-GAAP items rather than $0.50 and $0.20, respectively.  The table below has been revised accordingly.  The references made in the call were to actual results for 2006 and goals for 2007 and 2008.
