ITEM 1.01    ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.

On November 10, 2006, we entered into a Memorandum of Understanding with the Tactical Vehicle Systems Division of Armor Holdings, Inc.’s Aerospace and Defense Group, formerly known as Stewart & Stevenson Tactical Vehicle Systems LP, whereby we agreed to negotiate a subcontract agreement for automotive integration and final assembly of two hundred variants of the Cougar vehicle.

The foregoing description of the terms and conditions of the Memorandum of Understanding is qualified in its entirety by, and made subject to, the more complete information set forth in the Memorandum of Understanding filed as exhibit 10.1 to this Form 8-K.
