Item 7.01.

 

Regulation FD Disclosure.

 

On May 29, 2007, Forest Oil Corporation announced that it is commencing a private placement offering to eligible purchasers, subject to market and other conditions, of an aggregate of $500 million principal amount of unsecured senior notes due 2019.  A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.  Forest intends to use the proceeds to fund a portion of the cash merger consideration in connection with its pending acquisition of The Houston Exploration Company.

The notes will not be registered under the Securities Act of 1933, as amended (the “Securities Act”), or applicable state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state securities laws.  The notes may be resold by the initial purchasers pursuant to Rule 144A and Regulation S under the Securities Act.  The information contained in this Current Report on Form 8-K, including the exhibit, is neither an offer to sell nor a solicitation of an offer to buy any of the securities in the notes offering or any other securities of Forest.
