Item 5.07 Submission of Matters to a Vote of Security Holders.

 

(a)           The 2018 Annual General Meeting of Shareholders (the “Annual Meeting”) of Theravance Biopharma, Inc. (the “Company”) was held on May 1, 2018.

 

(b)           Shareholders holding 52,492,984 shares of capital stock, representing 95.79% of the total number of shares outstanding and entitled to vote at the Annual Meeting, were present in person or by proxy at the Annual Meeting. Each of the proposals voted on by the Shareholders at the Annual Meeting was approved.

The shareholders adopted a resolution approving a new shareholder rights plan and authorizing the Company’s board of directors to put the shareholder rights plan into effect in the future if and when the board of directors deems appropriate and in the best interests of the Company, which resolution is set forth as Annex A to the Company’s definitive proxy statement on Schedule 14A filed with the United States Securities and Exchange Commission on March 21, 2018 (the “Proxy Statement”).
