Item 8.01 Other Events.

AtheroGenics, Inc. received written notification today from the Securities and Exchange Commission that its staff has completed their investigation into matters related to the Company’s 2004 release of interim results from the CART-2 clinical trial and that the staff does not intend to recommend any enforcement action against AtheroGenics to the Commission.
