11-K, 10-Q, N-SAR, or the transition report, or portion thereof, could not be
filed within the prescribed time period.

         CD&L, Inc. (the "Company") is unable to file its quarterly report on
Form 10-Q for the period ended March 31, 2003 within the time period prescribed
for such report without unreasonable effort or expense. As a result of the
Company's Form 10-K for the year ended December 31, 2002 being filed on April
30, 2003, the Company is unable to prepare, review and file its Form 10-Q by the
prescribed due date of May 15, 2003. The Company expects to have completed such
tasks within the timeframe granted for filing the Company's report on Form 10-Q
by Rule 12b-25(b).
