Jack Silver beneficially owns 2,657,000 shares of Common Stock of HLS Systems International, Ltd. (formerly known as Chardan North China Acquisition Corporation) representing 6.3% of the outstanding Common Stock, based on approximately 41.9 million shares of Common Stock outstanding, as resported in the issuer’s Form 6-K for the month of January 2008. Such shares of Common Stock beneficially owned by Mr. Silver include 2,657,000 shares held by Sherleigh Associates Inc. Profit Sharing Plan, a trust of which Mr. Silver is the trustee.

Mr. Silver has the sole voting and dispositive power with respect to all 2,657,000 shares of Common Stock beneficially owned by him.
