ITEM 5.02.  DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS
 
On April 15, 2009, the Compensation Committee of the Company’s Board of Directors approved the temporary suspension of Company matching contributions to the Weyerhaeuser Company 401(k) Plan for all employees, including the Company’s named executive officers.  The suspension will be effective as of May 1, 2009.  As a result, the Company’s named executive officers will not receive any Company matching contributions to the 401(k) Plan.
