On June 21, 2010, the Registrant issued a press release announcing that its Brazilian subsidiary, Universal Leaf Tabacos Limitada, entered into an agreement with Philip Morris Brasil Industria e Comercio, a subsidiary of Philip Morris International Inc., for the sale of certain contract rights.  The press release is furnished as Exhibit 99.1 to this Report and is incorporated herein by reference.
