1. Earnings Release.
On August 9, 2012, BOS Better Online Solutions Ltd., an Israeli corporation (“BOS” or the “Company”) issued a Press Release announcing its financial results for the three months ended June 30, 2012.
Paragraphs 1-4 of the Press Release that is attached to this Form 6-K, and the GAAP financial statements included therein, are hereby incorporated by reference into all effective Registration Statements, filed by us under the Securities Act of 1933, to the extent not superseded by documents or reports subsequently filed or furnished.
2. Resignation of Director.
Mr. Guillaume Binder has advised the Company that he is resigning from his position as a member of the Board of Directors, effective August 9, 2012.
