(1) Shares sold pursuant to a 10b5-1 Trading Plan.
(2) This transaction was executed in multiple trades at prices ranging from $18.28 to $18.60, inclusive. The price reported above reflects the weighted average sale price. The reporting person hereby undertakes to provide upon request to the SEC staff, the issuer or a security holder of the issuer full information regarding the number of shares sold and each separate price within the range set forth in this footnote.
(3) Options subject to a right of early exercise by Mr. Hibberd prior to vesting and a right of repurchase by issuer that lapses in accordance with the following vesting schedule: 1/4th of the shares vested on August 7, 2007 and 1/48th shall vest each month thereafter.
(4) Vested options held by Clontarf Investments, Ltd. Clontarf Investments GP, LLC is the general partner of Clontarf Investments, Ltd. Mr. Hibberd and his wife are the sole members of Clontarf Investments GP, LLC and, by virtue of this relationship, may be deemed to have voting and dispositive power over the shares issuable upon the exercise of the options held by Clontarf Investments Ltd. Mr. Hibberd disclaims beneficial ownership of the shares held by Clontarf except to the extent of his pecuniary interest therein.
