Results of Operations and Financial Condition
 
On September 6, 2007, America’s Car-Mart, Inc., a Texas corporation (the “Company”) issued a press release announcing its first fiscal quarter 2008 results. The press release contains certain financial, operating and other information for the period ended July 31, 2007. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.

In accordance with General Instruction B.2., the information contained in this Form 8-K shall not be deemed to be “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1934, as amended. Item 5.02
Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers

On September 6, 2007, the Company issued a press release announcing the retirement of Tilman J. Falgout, III as its Chief Executive Officer and the appointment of William H. Henderson, the Company’s current President, to such post, effective as of the Company’s annual meeting of stockholders to be held on October 16, 2007. Mr. Henderson is continuing under his existing employment agreement with the Company. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
