Altria Group, Inc. (the “Company”) has filed with the Securities and Exchange Commission (the “Commission”) a Prospectus dated October 30, 2003 and a Prospectus Supplement dated October 30, 2003 (Registration No. 333-35143) in connection with the public offering of $500,000,000 aggregate principal amount of 5 5/8% Notes due 2008 and $1,000,000,000 aggregate principal amount of 7% Notes due 2013 (collectively, the “Notes”). The purpose of this Current Report on Form 8-K (the “Report”) is to file with the Commission the Terms Agreement and certain other documents related to such offering.
