Item 8.01. Other Events.

 

Lockheed Martin Corporation issued a press release on December 1, 2004 announcing that that the conversion rate for its $1 billion principal amount of outstanding Floating Rate Convertible Senior Debentures due 2033 will be adjusted from 13.1939 shares of common stock to 13.3326 shares of common stock for each $1,000 original principal amount of debentures. The resulting conversion price for the debentures will be $75.00. The adjustment will be effective immediately prior to the opening of business on December 2, 2004. A copy of the press release is attached as Exhibit 99 and is incorporated herein by reference.
