This Report of Foreign Private Issuer on Form 6-K is deemed filed for all purposes under the Securities Act of 1933, as amended, and the Securities Exchange Act of 1934, as amended, including by reference in the Registration Statement on Form F-3 (Registration No. 33-99550) and the Registration Statement on Form F-3 (Registration No. 333-9180).


On June 17, 2004, the government of the Republic of Korea publicly announced that it would suspend the plan to form and privatize our distribution subsidiaries. Instead, we plan to implement a divisional system in order to promote internal competition. On December 28, 2004, we entered into an agreement with a consortium consisting of Accenture and Young Wha Accounting Corp.(a member firm of Ernst & Young International) for consulting and advisory service in connection with our implementation of this plan, which service is currently scheduled to be provided over a period of ten months from January through October 2005.
