Item 5.02(b) Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

Effective October 16, 2006 Mr. John A. Straus has resigned from the Board of Directors of Boston Private Financial Holdings, Inc. (the “Company”). Such resignation was formally accepted by the Board of Directors at its regular meeting on October 25, 2006.
