Section 2 Financial Information
Item 2.01. Completion of Acquisition or Disposition of Assets.
This Amendment No. 1 to the Current Report on Form 8-K, filed on October 5, 2006, is being filed by Owens & Minor, Inc. (the Company) to provide the required financial statements and pro forma financial information related to the acquisition of certain assets, including inventory and fixed assets, and the assumption of certain liabilities and contracts related to the acute-care medical and surgical supply distribution business (the Acute Care Business) of McKesson Medical-Surgical Inc. (the Seller), a wholly owned subsidiary of McKesson Corporation, on September 30, 2006.
Historically, the Sellers Acute Care Business was not operated or accounted for as a separate legal entity, but was an integral part of the Sellers consolidated business. Due to the limited amount of information available specifically related to the Sellers Acute Care Business, it is impracticable to prepare the financial statements and other financial information as required by Rule 3-05 of Regulation S-X or to provide information related to the operating, investing and financing cash flows of the Acute Care Business without unreasonable effort and expense. As a result, in accordance with the letter, dated August 9, 2006, from the staff of the Division of Corporation Finance of the Securities and Exchange Commission to the Company, the financial statements incorporated by reference in Item 9.01 of this Current Report on Form 8-K include statements of revenues and direct expenses and statements of net assets to be acquired and liabilities assumed, together with certain footnote information.
