Item 2.02. Results of Operations and Financial Condition.
On January 25, 2007, Owens & Minor, Inc. (the Company) issued a press release announcing that, in the fourth quarter ended December 31, 2006, it will record a $5.2 million charge in its direct-to-consumer business consisting of a $4.7 million charge to increase its allowance for doubtful accounts and $0.5 million in other adjustments. The Company also announced that it will report fourth quarter pre-tax dilution of approximately $15 million resulting from the transition of the recently acquired McKesson acute-care business. The Company also provided its financial guidance for 2007. Additional financial results for the fourth quarter and year ended December 31, 2006 will be announced on January 31, 2007.
