ITEM 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 27, 2007, Frederic V. Salerno notified Consolidated Edison, Inc. (“CEI”) and its subsidiary Consolidated Edison Company of New York, Inc. (“Con Edison of New York”) that he will not stand for re-election to the Board of Directors of CEI or the Board of Trustees of Con Edison of New York at their Annual Meetings of Stockholders, scheduled to be held on May 21, 2007. Mr. Salerno informed the companies that his decision is not due to any disagreement with the companies.
