Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Bill D. Mills, 56, a director since 1988, has decided to retire from the HEI Board of Directors, effective July 9, 2008. There was no disagreement between the registrant and Mr. Mills; the latter decided to retire due to pressing personal business interests. At the time of his retirement, Mr. Mills was a member of the Compensation Committee of the HEI Board of Directors.
