Item 1.01. Entry into a Material Definitive Agreement.
On June 11, 2012, Newell Rubbermaid Inc. (the Company) and J.P. Morgan Securities LLC and RBC Capital Markets, LLC, as representatives of the underwriters named therein, entered into an Underwriting Agreement (the Underwriting Agreement) with respect to the offering and sale of $500,000,000 of unsecured senior notes, consisting of $250,000,000 aggregate principal amount of 2.000% Notes due 2015 (the 2015 Notes) and $250,000,000 aggregate principal amount of 4.000% Notes due 2022 (the 2022 Notes and, together with the 2015 Notes, the Notes)) under the Companys Registration Statement on Form S-3 (Registration No. 333-174279). The offering and sale closed on June 14, 2012. The purchase price paid by the underwriters was 99.332% of the aggregate principal amount of the 2015 Notes and 99.032% of the aggregate principal amount of the 2022 Notes. The Notes were issued pursuant to an Indenture, dated as of June 14, 2012, between Newell Rubbermaid Inc. and The Bank of New York Mellon Trust Company, N.A., as trustee.
Copies of the Underwriting Agreement, the Indenture, the form of the 2015 Notes and the 2022 Notes are filed as Exhibits 1.1, 4.1, 4.2 and 4.3, respectively, to this Current Report on Form 8-K and are hereby incorporated by reference herein.
