On May 16, 2014, Flotek Industries, Inc. (the Company) held its 2014 annual meeting of stockholders (the Annual Meeting). At the Annual Meeting, the stockholders elected all of the Companys nominees for director, approved the Companys 2014 Long Term Incentive Plan, approved the compensation of the Companys named executive officers, and ratified the appointment of Hein & Associates LLP as the Companys independent auditors for the fiscal year ending December 31, 2014.
A total of 49,047,731 shares of the Companys common stock were present at the meeting in person or by proxy, which represented approximately 91% of the outstanding shares of the Companys common stock as of March 27, 2014, the record date for the Annual Meeting.
(1) Proposal One: Election of directors to serve until the next annual meeting of stockholders of the Company or until their successors are duly elected and qualified, or until their earlier resignation or removal. Each director was elected as follows:
