This combination is driven by a strategic decision to further our mission and strategy with
highly complementary medical technologies, rather than by tax considerations. Since
Covidien is an Irish headquartered company, the most financially efficient structure was to
incorporate the new company there.

| Based on our growing business offshore and the challenges of the current tax regime in the U.S., this structure was the best alternative for both of our shareholders. |
| This structure will reduce Medtronics overall effective tax rate by about 1-2 percentage points. However, it is expected to enable us to gain access to 100% of Covidiens cash flows on a going forward basis. Without this structure, anywhere from 75% to 100% of Covidiens cash may become trapped. |

Dealing Disclosure Requirements
