On November 21, 2017, Earl J. Hesterberg, President and Chief Executive Officer of Group 1 Automotive, Inc. (the Company), adopted a new stock trading plan in accordance with guidelines specified under Rule 10b5-1 of the Securities Exchange Act of 1934, as amended, and the Companys policies regarding stock transactions. Rule 10b5-1 permits corporate officers, directors and others to adopt written prearranged stock trading plans when they are not in possession of material, non-public information. Using these plans, insiders may gradually diversify their investment portfolios and spread stock trades over a period of time regardless of any material, non-public information they may receive after adopting their plans.
Mr. Hesterbergs prearranged stock trading plan was adopted in order to allow Mr. Hesterberg to sell a portion of his Company stock over time in an orderly manner as part of his personal financial planning and long-term strategy for individual asset diversification and liquidity. Mr. Hesterberg has no discretion over sales under the plan. The Company shares subject to the prearranged stock trading plan include shares held directly by Mr. Hesterberg and shares held indirectly in several family trusts for income taxation purposes. Because the plan has been established well in advance of any trade being made pursuant to it, the plan will also help avoid concerns about whether Mr. Hesterberg has material, non-public information at the time of any sale. Stock transactions executed pursuant to the prearranged stock trading plan will be disclosed publicly through Form 4 and Form 144 filings with the Securities and Exchange Commission as required by applicable securities laws.
