Item 7.01 Regulation FD Disclosure.

On May 14, 2018, Surmodics, Inc. (the “Company”) issued a press release (the “Press Release”) announcing that it had entered into an Asset Purchase Agreement (the “Agreement”) with Embolitech, LLC (“Embolitech”) and certain of its equityholders pursuant to which the Company acquired Embolitech’s thrombectomy platform technology and related intellectual property. Under the Agreement, the Company agreed to pay $5 million upfront, and additional amounts related to various regulatory milestones. In connection with the acquisition, the Company anticipates that it will record a $0.49 per share charge to earnings in the quarter ended June 30, 2018 related to in-process research and development expense and deal costs associated with the Agreement.
