(1)	Reporting Person is a non-managing member of Storage Acquisition Company, L.L.C., a Delaware limited liability company ("SAC"). SAC and Reporting Person are members of a group that has filed a Schedule 13D under the Securities Exchange Act of 1934, as amended, with respect to SAC's ownership of more than 10% of the outstanding common stock of the Issuer.
(2)	Reporting Person and SAC are parties to a Voting Agreement, dated October 28, 2004, pursuant to which SAC executed an irrevocable proxy for the benefit of Reporting Person. Pursuant to this agreement and proxy, Reporting Person has the right and ability to elect a majority of the members of the board of directors of the Issuer, all as described in the documents delivered to stockholders of the Issuer in connection with SAC's recently completed tender offer for shares of the Issuer's common stock. The Reporting Person disclaims beneficial ownership with respect to all shares held of record by SAC, except to the extent of its pecuniary interest or dispositive power therein.
