Item 8.01 Other Events.
On September 13, 2005, Technical Olympic USA, Inc. (the "Company") and Technical Olympic, S.A. ("TOSA") completed their previously announced underwritten sale of an aggregate of 4,600,000 shares of common stock at $28.00 per share (including 600,000 shares covered by an over-allotment option), of which 3,358,000 shares were sold by the Company and 1,242,000 shares were sold by TOSA. The Company did not receive any proceeds from the sale of shares of common stock by TOSA.
