(b) On January 17, 2006, Robert H. Schottenstein notified the Board of Directors of Huntington Bancshares Incorporated that he does not intend to stand for reelection when his current term as a director expires at the 2006 Annual Meeting of Shareholders to be held in April. Mr. Schottenstein, who has been a member of the Board of Directors since 1997, cited general time constraints as the reason for his decision.
