EXPLANATORY NOTE

 

This Amendment No. 1 to Current Report on Form 8-K/A (this “Form 8-K/A”) is an amendment to the Current Report on Form 8-K of ImmunoGen, Inc. (also referred to as “we” or “our”),  filed with the Securities and Exchange Commission (SEC) on  January 8, 2019 (the “Original Form 8-K”). There was a typographical error in the Original Form 8-K whereby the year-end was described as being December 31, 2017 and should have been December 31, 2018.  The corrected disclosure is shown below.

 

 

ITEM 2.02.  RESULTS OF OPERATIONS AND FINANCIAL CONDITION

 

On January 8, 2019, ImmunoGen, Inc. (the “Company”) disclosed that it expects to report that as of December 31, 2018 it had cash and cash equivalents of approximately $262.3 million.  This amount is preliminary and is subject to completion of financial closing procedures. As a result, this amount may differ from the amount that will be reflected in our financial statements as of December 31, 2018.
