PURSUANT TO GENERAL INSTRUCTION E OF FORM S-8

     This Registration Statement on Form S-8 is filed by Cadence Design Systems, Inc., a Delaware corporation (the “Registrant”), relating to 33,500,000 shares of its common stock, par value $0.01 per share (the “Common Stock”), issuable to eligible employees of the Registrant under the Registrant’s 1993 Non-Statutory Stock Option Plan (the “1993 Plan”) and 2000 Nonstatutory Equity Incentive Plan (the “2000 Plan” and, together with the 1993 Plan, the “Plans”). On May 27, 1994, the Registrant filed with the Securities and Exchange Commission, a Registration Statement on Form S-8 (Registration No. 033-53913) and on March 27, 2000, the Registrant filed with the Securities and Exchange Commission, a Registration Statement on Form S-8 (Registration No. 333-33330), amended on November 14, 2000 by Post-Effective Amendment No. 1 to Form S-8 Registration Statement (Registration No. 333-69589) (collectively, the “Prior Registration Statements”) relating to shares of Common Stock issuable to eligible employees and consultants of the Registrant and its affiliates under the 1993 Plan and 2000 Plan, respectively.      On March 22, 2002, the Registrant announced that it had appointed KPMG LLP to replace Arthur Andersen LLP (“Andersen”) as the Registrant’s independent auditors.
