This Amendment No. 5 to the Issuer Tender Offer Statement on Schedule TO amends and supplements the Issuer Tender Offer Statement on Schedule TO initially filed by ASA Limited (the “Company”) with the Securities and Exchange Commission (the “SEC”) on September 1, 2009 (the “Initial Schedule TO”), as amended by
Amendment No. 1 to the Issuer Tender Offer Statement on Schedule TO filed by the Company with the SEC on September 3, 2009, Amendment No. 2 to the Issuer Tender Offer Statement on Schedule TO filed by the Company with the SEC on September 4, 2009, Amendment No. 3 to the Issuer Tender Offer Statement on Schedule TO filed by the Company with the SEC on September 14, 2009, and Amendment No. 4 to the Issuer Tender Offer Statement on Schedule TO filed by the Company with the SEC on
September 16, 2009. This Schedule TO relates to the tender offer by the Company to purchase up to 720,000 of its issued and outstanding common shares, par value U.S. $1.00 per share, at a price per share, net to the seller in cash (without interest), equal to 98% of the net asset value per share as determined by the Company at the close of regular trading on the New York Stock Exchange on October 2, 2009, or such later date to which the Offer may be extended, upon the terms and
subject to the conditions set forth in the Offer to Purchase dated September 1, 2009 (the “Offer to Purchase”) and in the related Letter of Transmittal (the “Letter of Transmittal” which, together with the Offer to Purchase, as each may be amended, supplemented or otherwise modified from time to time, constitute the “Offer Documents”) (the “Offer”). The title of the class of equity securities to which this Schedule TO relates is the common shares, par value U.S. $1.00 per share, of the Company. As of August 21, 2009, there were 7,200,000 shares outstanding.

On May 20, 2009, Andrew Pegge, a director of the Company, filed with the SEC a Form 4 reporting his beneficial ownership of 96,782 shares (1.34% of the outstanding shares) of the Company. Andrew Pegge has advised the Company that he intends to tender all (or a portion) of his shares in the Offer and/or sell all (or a portion) of his
shares into the market during the pendency of the Offer.
On September 14, 2009, Andrew Pegge filed with the SEC a Form 4 reporting (i) the sale on September 10, 2009, of 12,947 shares of the Company into the market at a price per share of $75.52; (ii) the sale on September 11, 2009, of 11,830 shares of the Company into the market at a price per share of $76.96; and (iii) his beneficial
ownership of 72,005 shares of the Company following the reported sale transactions. The transactions were effected on the NYSE.
On September 16, 2009, Andrew Pegge filed with the SEC a Form 4 reporting (i) the sale on September 14, 2009, of 4,970 shares of the Company into the market at a price per share of $76.21; (ii) the sale on September 15, 2009, of 2,000 shares of the Company into the market at a price per share of $76.48; and (iii) his beneficial ownership of 65,035 shares of the Company following the reported sale transactions. The transactions were effected on the NYSE.
On September 30, 2009, Andrew Pegge filed with the SEC a Form 4 reporting (i) the sale on September 28, 2009, of 14,500 shares of the Company into the market at a price per share of $74.59; and (ii) his beneficial ownership of 50,535 shares of the Company following the reported sale transaction. The transaction was effected on the NYSE.
Other than the foregoing, the Company has been advised that no director or executive officer of the Company intends to tender any shares in the Offer or sell any shares into the market during the pendency of the Offer.
