Item 8.01 Other Events.
On December 28, 2005, Moog Inc. issued a press release announcing the commencement of an exchange offer of $50 million in aggregate principal amount of 6 ¼% senior subordinated notes due 2015, which have been registered under the Securities Act of 1933 (the "Securities Act"), for the same aggregate principal amount of its outstanding 6 ¼% senior subordinated notes due 2015 issued on September 12, 2005, pursuant to Rule 144A and Regulation S under the Securities Act. The information contained in this press release, which is filed as exhibit 99.1 to this current Report in Form 8-K, is incorporated herein by reference.
